Thank you !!

1) I have just downloaded it

2) Sorry, but I am really confused as far as how to upgrade, I read the install instructions...but feel it will not work correct?

Note: Before upgrade please take the backup of your current seo panel database and code

I have a full website back-up. I have SEO panel as a Sub-Domain

seopanel.mywebsite.com

1. Change the current seo panel directory name or move it to another place, e.g seopanel to seopanel_bak

This is what and where I am not sure how to proceed really...

sorry to ask, but I don't want to screw anything up....

Yes just copy existing seo panel directory as seopanel_bak, later replace existing seo panel directory with new version of seo panel directory.

Hope this will help you.
